Acceptance of terms

These Terms & Conditions (“Terms”) apply to your use of axonarc47.com (the “website”) and to the services provided by AXONARC47 Intelligence (“AXONARC47”, “we”, “us”). By using the website you agree to these Terms. If you do not agree, please do not use the website.

Our services

We provide AI consulting, business automation, AI chatbots, agents and voice assistants, AI marketing, dashboards and reporting, website and software development, and search optimisation services. The exact scope, deliverables, timeline and fees of any engagement are set out in a written proposal or statement of work (a “Proposal”). If a Proposal conflicts with these Terms, the Proposal takes priority.

Content on the website, including demos, sample numbers and free tools, is for general information only. Demos and examples are illustrative and are labelled as such.

Proposals and engagements

A Proposal becomes binding when both parties accept it in writing (including by email or e-signature) or when you pay the first invoice. Changes to scope are agreed in writing and may change fees or timelines.

Fees and payment

Fees, payment schedules and any recurring monthly fees are stated in the Proposal. Unless the Proposal says otherwise, invoices are due within 14 days. Fees do not include third-party costs such as software subscriptions, AI usage, phone numbers or hosting, which are paid by you directly or passed through at cost with your approval. We may pause work while an invoice is overdue.

Client responsibilities

You agree to provide timely access to the information, people, accounts and tools needed for the work, to make sure you have the right to share any data you give us, and to review and approve deliverables within a reasonable time. You are responsible for how AI systems are used in your business and for meeting the laws and rules that apply to your industry.

Intellectual property

Once you have paid in full, you own the deliverables created specifically for you, including your content, configurations and documentation. We keep ownership of our pre-existing materials, know-how, templates and general-purpose tools, and grant you a non-exclusive licence to use any of them that are part of your deliverables. Third-party software remains subject to its own licence terms.

The website, its design, text and graphics belong to AXONARC47 and may not be copied without permission.

Confidentiality

Each party will keep the other’s non-public business information confidential and use it only for the engagement, except where disclosure is required by law. This obligation continues after the engagement ends.

Disclaimers

We work carefully, but AI systems can make mistakes and results depend on many factors outside our control. Unless a Proposal states a specific commitment, we do not guarantee particular business results, revenue, search rankings, indexing, or mentions in AI answer engines.

Estimates from our free tools are for illustration only and are not financial, legal or professional advice. The website is provided “as is” without warranties of any kind, to the extent the law allows.

Limitation of liability

To the extent the law allows, AXONARC47 is not liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue or data. Our total liability for any claim relating to an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

Termination

Either party may end an engagement as set out in the Proposal. Unless the Proposal says otherwise, monthly services can be cancelled with 30 days’ written notice. You pay for work done and costs committed up to the end date. Sections on fees, intellectual property, confidentiality, disclaimers and limitation of liability continue after termination.

Governing law

The governing law and venue for any dispute are those stated in the Proposal. Where no Proposal applies, these Terms are governed by the laws of the place where AXONARC47 Intelligence is legally registered. We will always try to resolve concerns informally first, so please contact us before starting any formal process.
